Welcome to Dinelax POS. These Terms of Service ("Terms") govern your access to and use of the Dinelax POS software, website, and related services (collectively, the "Services") provided by Dinelax ("Company", "we", "us", or "our"), a sole proprietorship registered under the laws of India.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access or use our Services.

1. Definitions

• "Account" means a unique account created for you to access our Services.
• "Subscription" means the paid plan you select to access premium features.
• "User" means any individual or entity accessing or using the Services.
• "Content" means all data, information, and materials uploaded or stored through the Services.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By registering, you represent that you meet these requirements.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3. Subscription and Payments

3.1 Pricing

Our subscription plans are offered at the prices displayed on our website at the time of purchase. All prices are in Indian Rupees (INR) and are subject to applicable taxes.

3.2 Billing Cycle

Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew at the end of each billing cycle unless cancelled.

3.3 Payment Methods

We accept payments through various methods including credit cards, debit cards, UPI, net banking, and other payment gateways available through our payment processor. All payments are processed securely.

3.4 Failed Payments

If a payment fails, we will attempt to process it again. If payment continues to fail, your access to premium features may be suspended until payment is successfully processed.

4. Use of Services

4.1 Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may use the Services for managing your restaurant operations, including but not limited to order management, billing, inventory tracking, and customer management.

4.2 Prohibited Activities

You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or any harmful code
• Reverse engineer, decompile, or disassemble any part of the Services
• Copy, modify, or distribute our intellectual property without permission
• Use the Services to collect or harvest user data without consent
• Resell or sublicense the Services without our written consent

5. Intellectual Property

The Services, including all content, features, and functionality, are owned by Dinelax Technologies Private Limited and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes only.

6. Data Privacy and Security

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. We implement industry-standard security measures to protect your data, but no method of transmission over the internet is 100% secure.

7. Service Availability

We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and may occasionally perform maintenance that temporarily affects service availability. We will provide advance notice of scheduled maintenance whenever possible.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINELAX TECHNOLOGIES PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dinelax, its proprietor, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease. You may also terminate your account at any time by contacting us.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Tirunelveli, Tamil Nadu, India.

13. Dispute Resolution

In case of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiations. If the dispute cannot be resolved within 30 days, either party may pursue legal remedies.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
